Section 2(d) of the Securities Contract (Regulation) Act, 1956 defines à ¢Ã¢â€š ¬Ã…“options in securitiesà ¢Ã¢â€š ¬Ã‚  as a purchase or sell of a right to buy or sell securities in the future. The judiciary has upheld that options are not obligation but a right. Section 20 of the Securities Contract (Regulation) Act, 1956 (SCRA) had prohibited options upon securities. A 1995 amendment[1] had deleted the concerned provision, but still the air of ambiguity regarding option contracts wasnà ¢Ã¢â€š ¬Ã¢â€ž ¢t clear as a March 1, 2000 circular of SEBI[2] had prohibited the use of option contracts. If both the amendment and circular is read together it is logically deducible that option contracts are only valid till they are (a) spot delivery contracts; (b) hand delivery; (c) contracts for cash; (d) special delivery and (e) contracts for derivatives permissible under the SCRA or the SEBI 1992 rules.[3] Since the Amendment is still in force along with the circular by SEBI in 2000 that clarified ità ¢Ã¢â€š ¬Ã¢â€ž ¢s position related to prohibition on option contracts, there exists an contradiction between the 1995 amendment of SCRA and 2000 circular of SEBI. CURRENT SITUATION The SEBI by a recent 2013[4] circular has agreed to include clauses related to pre emptive rights, right of first offer, tag-along right, drag-along right and call and put options, when contained in shareholders agreements, as valid contracts, for the purpose of the SCRA. Some judicial decisions that lead to the str ategic acceptance of option contracts by SEBI has been enumerated below : In 2005 the Bombay High Court[5] dealing with the buy-back clause in a share agreement held that such a contract would not be valid under SCRA as it is not a spot delivery contract. In 2011, SEBI issued an informal guidance[6] that an agreed purchase of shares of a listed company through call or put options of a listed company is invalid, since it does not constitute a spot delivery. The contract was held not to be a derivative under SCRA as it was not a contract traded in stock exchange but settled on clearing house of a stock exchange. In 2012 Bombay High Court[7], dealing with the options of purchase or sell between parties, held that the options are mere privileges of option holder and a concluded contract would only come into existence when an option holder actually enforces the option. The appeal filed by SEBI was disposed off by the Supreme Court on grounds of mutual consent filed by parties. All this led to a deadlock which was cleared atlast by SEBI which by its 2013 circular enhanced the scope of option contracts under the SCRA. The notification clarifies that the contracts now included under SCRA shall be in accordance with the extant exchange control laws of India and that the changes shall not affect the validity of any contract entered prior to the notification. ANALYSIS Clearing the ambiguity and removing the deadlock Prior to the notification there was a lot of ambiguity related to the validity of option contracts. Two views existed, with one advocating that they were invalid as they were neither spot delivery contracts nor were they derivatives traded in the stock market as enumerated in Vulcan Engineers Case[8] and the other view advocating the validity of option contracts based on MCX[9] case judgement that advocated that such contracts were rights vested in the option holder and not a concluded contract. By including contracts for purchase or sale of securities pursuant to exercise of an option, SEBI has put to rest a long standing debate. Adding Some more Confusion While the validity of such contracts is settled by the circular, more confusion seems to be have had been added with respect to the enforcement of such contracts. As per the MCX judgement the option contract would become a contract only on exercise, hence to be settled as a spot delivery contract. However by including spot delivery and pre emptive contracts as a different class of contracts, the settlement of contracts is under ambiguity. Also as the above two contracts have been included in class of permitted contracts, there is ambiguity whether they can be traded as market securities. For example if a shareholderà ¢Ã¢â€š ¬Ã¢â€ž ¢s agreement contains mere call option, could the right be traded by option holder. Controlling Speculation By legalising the concept of option contract, for the validity and enforceability of contracts the selling party is required to own the securities for a minimum period of one year. Also, the contract for such sale and purchase pursuant to the exercise of an option must be by actual delivery of the underlying securities. The intent behind this clause was to prevent any speculative transactions among the parties, which was the intent behind the introduction of SCRA. Existing Contracts The circular of 2013 expressly states that the contracts entered before the circular will not be affected by the change, hence the validity and enforceability of such contracts still remains questionable. The only option the affected parties are left with in order to continue their contract is by re entering the contract on a date after the circular came into force. RBI Perspective Though SEBI has permitted options in shareholders agreements, the same have been subjected to the extant exchange control regulations. RBI has often been uncomfortable with such contracts in shareholders agreements since it views these contracts as more in the nature of debt as opposed to equity, thereby defeating the spirit of the foreign direct investment policy. The RBI has even issued various show cause notices for removal of such provisions. Unless RBI issues a notification permitting options in shareholders agreements, these options in cross border deals might still remain questionable.[10] CONCLUSION The issue of the validity of call and put options has been debated frequently. SEBI has earlier held options to be invalid in Vulcan Engineering, and recently, has even asked parties to remove put options from their agreements, as in the recent case of Vedanta Resources Plcs acquisition of Cairn India Limited. Hence the Notification is a welcome move and will bring great r elief to the domestic investors, at least. Having said that, the call and put options are subject to extant exchange control regulations. RBI has been holding such options invalid on 2 counts. First, that they were not valid contracts under SCRA, and second, that they were in the nature of debt. By way of the Notification, the first of the two issues have been addressed. To that extent, since put options is more pertinent to the second objection- it remains to be seen whether call option would now be permitted. It seems that SEBI may have consulted with the RBI before coming out with the Notification, and it is expected that RBI may soon permit options and preemptive rights from an exchange control perspective, thereby clarifying the issue in relation to these contracts. Therefore to conclude we can say that the recent circular has on one hand cleared years long ambiguity in one hand by expressly validating option contracts but on the other hand has also created confusion ove r validity of such contracts entered earlier than the circular. This leaves interested latter parties with the only option of re entering contracts. Gothic Age Essay For nearly four hundred years Gothic style dominated the architecture of Western Europe. It originated in northern France in the twelfth century, and spread rapidly across England and the Continent, invading the old Viking empire of Scandinavia. It confronted the Byzantine provinces of Central Europe and even made appearances in the near East and the Americas. Gothic architects designed town halls, royal palaces, courthouses, and hospitals. They fortified cities and castles to defend lands against invasion. But it was in the service of the church, the most prolific builder of the Middle Ages, that the Gothic tyle got its most meaningful expression, providing the widest scope for the development of architectural ideas. 1 Although by 1400 Gothic had become the universal style of building in the Western world, its creative heartland was in northern France in an area stretching from the royal domain around Paris, including Saint-Denis and Chartres, to the region of the Champagne in the east and southward to Bourges. Within this restricted area, in the series of cathedrals built in the course of the 12th and 13th centuries, the major innovations of Gothic architecture took lace. 2 The supernatural character of medieval religious architecture was given a special form in the Gothic church. Medieval man considered himself but an imperfect refraction of Divine Light of God, Whose Temple stood on earth, according to the text of the dedication ritual, stood for the Heavenly City of Jerusalem. The Gothic interpretation of this point of view was a cathedral so grand that seems to belittle the man who enters it, for space, light, structure and the plastic effects of the stonework are made to produce a visionary scale. The result of the Gothic style is distortion as there is no fixed set of proportions in the parts. Such architecture did not only express the physical and spiritual needs of the Church, but also the general attitude of the people of that time. Gothic was not dark, massive, and contained like the older Romanesque style, but light, open, and aerial, and its appearance in all parts of Europe had an enduring effect on the outlook of succeeding generations. 4 Gothic architecture evolved at a time of profound social and economic change in Western Europe. In the late eleventh and twelfth centuries trade and industry were revived, particularly in northern Italy and Flanders, and a lively commerce brought about better communications, not only between neighboring towns but also between far-distant regions. Politically, the twelfth century was also the time of the expansion and consolidation of the State. Along with political and economic developments, a powerful new intellectual movement arose that was stimulated by the translation of ancient authors from Greek and Arabic into Latin, and a new literature came into being. Gothic architecture both ontributed to these changes and was affected by them. 5 The Gothic style was essentially urban. The cathedrals of course were all situated in towns, and most monasteries, had by the twelfth century become centers of communities which possessed many of the functions of civic life. The cathedral or abbey church was the building in which the people congregated on major feast days. It saw the start and the end of splendid and colorful ceremonies, and it held the earliest dramatic performances. The abbey traditionally comprised at least a cloister, a dormitory and a refectory for the onks. But the cathedral also was around a complex of buildings, the bishops palace, a cloister and the house of canons, a school, a prison, and a hospital. However the cathedral dominated them all, rising high above the town like a marker to be seen from afa.. . 6 The architectural needs of the Church were expressed in both physical and iconographical terms. Like its Romanesque predecessor, the Gothic cathedral was eminently adaptable. It could be planned larger or smaller, longer or shorter, with or without transepts and ambulatory, according to the traditions nd desires of each community. The relationship is thought by some historians to have been even closer, for scholastic thinking first took shape in Paris early in the welfth century, at the very time that Gothic architecture came into being there. It is possible that architects, who were abstract thinkers in their own right, may occasionally have absorbed some of the habits of thought of the philosophers. In the absence of written documents, however, it cannot be proved whether these habits were consistently embodied in the design of the buildings. 9 The Gothic age, as has often been observed, was an age of vision. The supernatural manifested itself to the senses. In the religious life of the twelfth and thirteenth centuries, the desire to behold sacred reality with odily eyes appeared as the dominant theme. Architecture was designed and experienced as a representation of an ultimate reality. 10 The Gothic cathedral was originated in the religious experience and in the political and even physical realities, of twelfth-century France. It was described as an illusionistic image of the Celestial City as evoked in the Book of Revelation. The essence of Gothic style was most fully developed in its conquest of space and its creation of a prodigious, visionary scale in the cathedrals of the twelfth century.

In the real sense most artistic works or drawings have textures that help to depict some forms of meaning. This texture can be appreciated in two different ways; these are either actual or implied texture. Fetal Heart Rate and Defects Essay

Electronic fetal heart monitoring is commonly used for tracking how well the baby is doing within the contracting uterus and for detecting signs of fetal distress. External fetal heart monitoring is performed by attaching external transducers to the mother’s abdomen with elastic straps. The transducers use Doppler ultrasound to detect fetal heart motion, and the information is sent to the fetal heart monitor which calculates and records the fetal heart rate on a continuous strip of paper. More modern fetal heart monitors have incorporated microprocessors and mathematical procedures to improve the fetal heart rate signal and the accuracy of the recording. An echocardiography can be used before birth to accurately identify many heart defects. The mother can be treated with medications that may restore normal heart rhythm in the fetus if the test shows that a fetus’s heart is beating too fast or too slow (Emitting & Waves, R.C., n.d.). The fetal heart starts as a tube which folds and fuses in a complex structure that results in a muscular pump with four chambers and four valves. It is not surprising that small errors in development can lead to a wide variety of structural abnormalities in the 4 chambers, the 4 heart valves, the veins and great arteries. During fetal monitoring, a nurse will evaluate the strip for continuity and adequacy for interpretation, identify the baseline fetal heart rate and presence of variability, determine whether there are accelerations or decelerations from the baseline, identify patterns of uterine contraction, and correlate accelerations and decelerations with the uterine contractions. This will allow the nurse to determine whether the fetal heart rate recording is reassuring, non-reassuring, or ominous (Children’s Heart Federation, n.d). Fetal Heart Rate and Defects The normal fetal heart rate is between 110 to 180 beats per minutes (BPM), but can vary. Fluctuations of the fetal heart rate (usually associated with fetal movement) during different periods of the day are common and often rise above 160, going as high as 180 to 190 and are considered normal. Listening to a normally beating heart using a fetal ultrasound Doppler as early as 8 weeks can offer reassurance and cut down on a lot of stress and help assure that the developing fetus is healthy. While miscarriage occurs in only about 15 percent of apparently normal pregnancies, it only occurs in about 1 percent of pregnancies where a normal heartbeat has been seen or heard (Medscape, n.d). Recent studies conclude that changes in pregnant women’s heart rate and blood pressure due to chronic stress and anxiety can have an effect on the fetal heart rate. The study did not report any negative effects on fetal health but confirmed that emotional based changes in a woman’s cardiovas cular activity can have â€Å"real-time effects† on a fetus. A previous study has shown that stress during pregnancy can cause an increase in the risk of low-birth weight and premature birth. More importantly, increased evidence suggests that pregnancy stress can actually affect the baby’s behavior and functioning later in life (NT: Detection Rate CHD, n.d.). The ability for expectant mothers to listen to the fetal heart rate with a fetal Doppler offers a safe method of early fetal bonding which was previously only available at prenatal appointments with a medical professional. With its approval for in home by the FDA expecting parents have increasingly been opting to rent or purchase fetal Dopplers to help relieve some of the stress associated with the unknowns of early and late pregnancy. Fetal Doppler rentals are currently available through many online retailers at very affordable rates. Fetal heart rate monitoring is the process of checking the condition of a baby during labor and delivery by monitoring his or her heart rate with special equipment. Electronic fetal heart rate monitoring (EFM) was first introduced at Yale University in 1958. Since then, continuous EFM has been widely used in the detection of fetal compromise and the assessment of the influence of the intrauterine environment on fetal welfare (Evans and Niswander, 2000). There are two methods of fetal heart monitoring in labor. External fetal monitoring is done through the skin and is not meant to be invasive. Sensitive electrodes (connected to monitors) are placed on your abdomen over conducting jelly. The electrodes can sense the fetal heart rate (FHR) and the presence and duration of uterine contractions. Usually, the results of this test are continuous and are printed out, or they appear on a computer screen. Internal fetal monitoring involves placing a electrode directly on the fetal scalp through the cervix. The health care provider may use this method of monitoring your baby if external monitoring is not working well, or the information is inconclusive. Both types of tests are performed to evaluate fetal heart rate and variability between beats, especially in relation to uterine contractions. The tests also indicate the frequency and strength of uterine contractions (Belmont, 1998). Fortunately, fetal heart monitoring tests can detect numerous abnormal situations or conditions during pregnancy, such as reduced blood flow to the developing baby (cord compression), block of electrical signals within the heart muscle, causing an altered heart beat (fetal heart block), incorrect positioning of the baby (fetal malposition), too little oxygen supply to the developing baby, suggest the presence of infection, too little oxygen exchange between the uterus and the placenta, fetal distress, placenta abruption, and severe anemia in the developing baby. Most common heart defects, such as holes between the chambers (atrial septal defect, ventricular septal defect) and even more complex conditions such as transposition of the great arteries and tetralogy of Fallot, can be successfully managed after birth (Belmont, 1998). Many of the aforementioned situations detected during a fetal heart monitoring could mean that the baby has a congenital heart defect. There are many types of congenital heart defects which is why it is so important that the fetal heart monitoring be done before and during labor. A fetal heart defect means that the baby will be born with a problem in the heart’s structure. Learning of the child’s congenital heart defect can help to understand his or her condition and what you can expect in the coming months and years. Some congenital heart defects are simple and don’t need treatment. Other congenital heart defects in children are more complex and may require several surgeries performed over a period of several years. Heart-related complications can be temporary or may affect the child long-term (Emitting & Waves, R.C, n.d.). One examples of a congenital heart defect is pulmonary atresia, which is when no pulmonary valve exists, so blood can’t flow from the right ventricle into the pulmonary artery and on to the lungs. The right ventricle acts as a blind pouch that may stay small and not well developed. The tricuspid valve is often poorly developed, too. An opening in the atrial septum lets blood exit the right atrium, so venous (bluish) blood mixes with the oxygen-rich (red) blood in the left atrium. The left ventricle pumps this mixture of blood into the aorta and out to the body. Pulmonary atresia occurs in about one out of every 10,000 live births (Pulmonary Atresia, n.d.). Another type of congenital heart defect is congenital heart block, when detected at or before birth in a structurally normal heart, is strongly associated with autoantibodies reactive with certain proteins. In this defect, the heart’s electrical signal doesn’t pass from the heart’s own natural pacemaker in the atrium to the lower chambers. When this occurs, an independent pacemaker in the lower chambers takes over. The ventricles can contract and pump blood, but at a slower rate than the atrial pacemaker. Complete heart block is most often caused in adults by heart disease or as a side effect of drug toxicity. Heart blocks can be present at birth (Belmont, 1998). Continuous lumbar epidural anesthesia is commonly used for analgesic treatment during labor and delivery; It is still a matter of controversy whether epidural anesthesia has direct or indirect side effects on the fetus. It has been reported that local anesthetics can cause changes in the fetal heart rate patterns in the sense of direct myocardial side effects (Evans and Niswander, 2000). It is apparent that there are marked cardiovascular changes that occur in the fetus with a congenital heart defect compared with the normal healthy fetus. Without the use of fetal heart monitoring tests, we would be unable to determine if the fetus has a congenital heart defect which could drastically delay treatment of the condition. Treatment varies widely with the type of disease, the effect that pregnancy has on the disease, and the effect that the disease has on pregnancy. If it is the fetus that has a problem, serial ultrasounds may be performed. Fetal heart rate monitoring may be necessary, or amniocentesis may be required. In addition, it may be essential to give the mother medications to act on the baby (Belmont, 1998). Summary A fetal heart defect is an abnormality in any part of the heart that is present in an unborn child. Approximately 35,000 infants are born with heart defects each year in the United States. An echocardiography can be used before birth to accurately identify many heart defects. The mother can be treated with medications that may restore normal heart rhythm in the fetus if the test shows that a fetus’s heart is beating too fast or too slow. Although it may not be a necessity, eating lunch off campus Is not an option that our school offers, which Isnt fair to the students. In fact, only 1 In every 3 high school campuses are allowed to eat lunch off school grounds. In previous years students eve been given the opportunity to leave during their lunch hours. The chance to do this was revoked after the students were being Irresponsible with their time and violating school rules. Students In our class and classes below us should not be punished for the mistakes that the students before us made and should be given the opportunity to make decisions for themselves. Being able to leave the school during lunch hours is a privilege, but not all students are able to make smart decisions when given privileges. Administrators were unable to control what students could do once hey left the school property, which led to students taking part in illegal activities off school campus. Of course not all students were guilty of breaking the rules,which is why it is difficult for administrators to attempt to make a choice that is justifiable for everyone. Although I do not agree with the decision of the administrators who have taken away campus lunches, they also have their reasons for having doubts on letting students leave. With obesity rates being at an all time high in the United States, school administrators are debating on whether the students are able to make the lethal choices they need. Government officials are making low calorie diets mandatory in K-12 schools across the country. With obesity rates at 35. 7%, the medical costs are also at an all time high. The United States spent 147 billion dollars in 2008 on medical expenses related to obesity. The school has no way to control the nutritious value of the food that the students will be consuming. The government has begun putting strict restrictions on the nutritional value of the food students are eating, and with good reason. The average obese adult tends to spend $1,429 more on average on medical expenses alone. School meals are based on a low calorie diet In an attempt to lower the obesity rates. But the attempt to provide healthier lunches Is ruined when students are heading to their favorite fast food restaurant In order to save money and be back In time for class. The solution to finding a way to make sure that children are responsible enough to leave campus for lunch Is having them prove themselves throughout their high school career. I feel that open campus lunches would only be available to Juniors and seniors who have met certain requirements. Our school offers the black and orange cards, which gives students certain freedoms by meeting certain requirements through academics and attendance. The solution woo a De salary to tens program, except It would only De available to upperclassman. The requirements would have to include a good discipline history and a good attendance. This would help filter out the kids who would be abusing their privileges by not returning after they leave or partaking in illegal activities. By making sure that the responsible students are the ones who have the freedom, you would be protecting the students who have worked for the opportunity to have options at lunch. As for the health factor, students need to be in some sort of a physical education class, like most schools do. Lowering the obesity rate is not going to happen quickly, but there are preventative measures that we can take to help out our upcoming generations. I feel that keeping the country healthy is important but there should not be major restrictions to keep you from your freedoms. Teachers always say that they work to help prepare us for the real world. Well in the real world you have the ability to make your own choices, which makes giving us the responsibility to make our own decision a more helpful solution to preparing us for the real world. All in all, there are so many factors in the debate over open campus lunches that it is impossible to be able to be able to make one final choice, which is why high schools are so divided over the topic. In any situation there are going to be students who will e irresponsible with their privileges.

Null Hypothesis Definition and Examples In a scientific experiment, the null hypothesis is the proposition that there is no effect or no relationship between phenomena or populations. If the null hypothesis is true, any observed difference in phenomena or populations would be due to sampling error (random chance) or experimental error. The null hypothesis is useful because it can be tested and found to be false, which then implies that there is a relationship between the observed data. It may be easier to think of it as a nullifiable hypothesis or one that the researcher seeks to nullify. The null hypothesis is also known as the H0, or no-difference hypothesis. The alternate hypothesis, HA or H1, proposes that observations are influenced by a non-random factor. In an experiment, the alternate hypothesis suggests that the experimental or independent variable has an effect on the dependent variable. How to State a Null Hypothesis There are two ways to state a null hypothesis. One is to state it as a declarative sentence, and the other is to present it as a mathematical statement. For example, say a researcher suspects that exercise is correlated to weight loss, assuming diet remains unchanged. The average length of time to achieve a certain amount of weight loss is six weeks when a person works out five times a week. The researcher wants to test whether weight loss takes longer to occur if the number of workouts is reduced to three times a week. The first step to writing the null hypothesis is to find the (alternate) hypothesis. In a word problem like this, youre looking for what you expect to be the outcome of the experiment. In this case, the hypothesis is I expect weight loss to take longer than six weeks. This can be written mathematically as:  H1: ÃŽ ¼ 6 In this example, ÃŽ ¼ is the average. Now, the null hypothesis is what you expect if this hypothesis does not happen. In this case, if weight loss isnt achieved in greater than six weeks, then it must occur at a time equal to or less than six weeks. This can be written mathematically as: H0: ÃŽ ¼ ≠¤ 6 The other way to state the null hypothesis is to make no assumption about the outcome of the experiment. In this case, the null hypothesis is simply that the treatment or change will have no effect on the outcome of the experiment. For this example, it would be that reducing the number of workouts would not affect the time needed to achieve weight loss: H0: ÃŽ ¼ 6 Null Hypothesis Examples Hyperactivity is unrelated to eating sugar is an example of a null hypothesis. If the hypothesis is tested and found to be false, using statistics, then a connection between hyperactivity and sugar ingestion may be indicated. You may be wondering why you would want to test a hypothesis just to find it false. Why not just test an alternate hypothesis and find it true? The short answer is that it is part of the scientific method. In science, propositions are not explicitly proven. Rather, science uses math to determine the probability that a statement is true or false. It turns out its much easier to disprove a hypothesis than to positively prove one. Also, while the null hypothesis may be simply stated, theres a good chance the alternate hypothesis is incorrect. For example, if your null hypothesis is that plant growth is unaffected by duration of sunlight, you could state the alternate hypothesis in several different ways. Some of these statements might be incorrect. You could say plants are harmed by more than 12 hours of sunlight or that plants need at least three hours of sunlight, etc. There are clear exceptions to those alternate hypotheses, so if you test the wrong plants, you could reach the wrong conclusion.
